Legal Manager; Credit Management - TIB Development Bank Limited



TIB development bank Limited, the premier national development financial institution, aims to focus on national projects with a development focus towards the attainment of-the Tanzanian Development Vision 2025. The bank's mandate is to support the Government in achieving rapid economic growth through the development of industries, infrastructure, services and the oil and gas sector. In this regard, activities of TIB have specifically expanded and the bank now invites applications from suitable, qualified and skilled persons to the following available vacancies:-

. Legal Manager; Credit Management
Nature and Scope.
'The successful candidate will work in the Legal Services Directorate and report to the Director, Legal Services. She/he will be involved in all legal matters related to loan and credit applications including documentation, security perfection and loan, recoveries.

Key Responsibilities
1. Collation of all information required for drafting of facilities' letters, security documents and other documentations as required.
2. Check all legal issues pertaining to loan applications before, during and after approval to ensure the bank's interests are safeguarded.
3. Co-manage receiverships with the bank's appointed Receiver Managers in all TIB and other receiverships and keep custody of legal documents and instruments of the bank.
4. Monitor the security register to determine status of securities held by the bank and identify any changes that might affect the bank at all times.
5. Participate in deal structuring and advice legal implications that the bank may encounter.
6. Prepare, execute, register, monitor loan documents, statutory registrations and ensure fulfillment of pre-disbursement conditions.
7. Advise business Units on legal aspects of various finance transactions (projects) in order to mitigate bank's legal risk,
8. Ensure that borrowers fulfill all statutory requirements, terms and conditions in the loan agreements at all times.
9. Ensure that annual fees for all the security documents (i.e., Certificate of titles, car registration cards, insurance policies. etc.) are promptly paid by clients.
10. Liaise with the loan Workout Department in all recovery processes from issuing of demand letters, statutory notices and appointment of law firms where applicable for instituting civil cases.
11. Advise Management on best legal recovery processes to institute against defaulters.
12. Advise Management on all legal matters pertaining to borrowers' risks and compliance.
13. Provision of business advisory services and transactional structures from negotiations stage, preparation of MOUs, due diligence and KYC.
14. Perform any other related duties as may be assigned from time to time by the Supervisor.

Qualifications, Knowledge and Experience
Essential
1. Bachelor Degree in law (LLB) obtained from a recognized Institution.
2. Possession 'of a Master's Degree will be an added advantage.
3. Must be a Registered Advocate with a valid practicing certificate.
4. Minimum of eight (S) years working experience, of which four (4) must be in a senior position in related function at a reputable institution.
5. Excellent written and oral communication skills with ability to prepare legal documents in a concise and focused style.
6. Highest degree of integrity, excellent and well developed interpersonal and organizational skills.
7. Must be a team player, very self-motivated and able to manage and prioritize work load with minimum supervision.
S. Must be computer literate.

Preferred
1. Understanding of banking and financial laws and regulations.
2. Demonstrated negotiation skills.
3. Ability to interpret and integrate laws, regulations and other statutes into banking/business policies and procedures.
4. Ability to review materials at short notice and provide advice on legal implications and. appropriate measures to take.
5. Familiarity with the Tanzania corporate law, registration process and procedures, as well as strong capability of undertaking due diligence
